These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Service") offered under the MT Desk name at https://mtdesk.ai. MT Desk is operated by MT Technology Group Limited, a company incorporated in Hong Kong ("MT Desk", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. By using the Service you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Business Use and Authority
The Service is intended for business and professional use. If you use the Service on behalf of a company, partnership, sole proprietorship, or other organization, "you" means both you and that organization. You are responsible for ensuring that all users, staff, contractors, and agents who access the Service through your account comply with these Terms.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@mtdesk.ai if you suspect unauthorized access.
4. Use of the Service
4.1 Permitted Use
The Service allows you to create AI-powered chatbots, train them with your content, and deploy them across channels including your website, Facebook Messenger, Instagram, and WhatsApp. You may use the Service for lawful business purposes in accordance with these Terms.
4.2 Your Responsibilities
You are solely responsible for configuring your chatbots, training data, prompts, instructions, connected channels, user permissions, and business workflows. You must ensure that your use of the Service, your content, and all messages sent through your chatbots comply with all applicable laws, regulations, platform rules, and industry obligations, including privacy, consumer protection, advertising, anti-spam, telecommunications, and sector-specific requirements.
You are responsible for giving any notices and obtaining any permissions, consents, authorizations, or rights required from your customers, end users, staff, business partners, and third-party platform accounts before using the Service to collect, upload, process, send, or receive information.
4.3 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Distribute spam, malware, or deceptive content through chatbots.
- Impersonate any person or entity, or misrepresent your affiliation.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Interfere with or disrupt the integrity or performance of the Service.
- Scrape, reverse-engineer, or extract data from the Service except as expressly permitted.
- Violate any applicable laws or the terms of any third-party platform (including Meta's policies) while using the Service.
- Use the Service to send messages to people where you do not have the required lawful basis, consent, opt-in, or platform permission.
- Use the Service for high-risk or regulated advice without appropriate professional review and supervision.
5. Your Content
You retain ownership of all content you upload or create through the Service ("Your Content"). By uploading content you grant us a limited, non-exclusive license to host, use, process, transmit, display, copy, and store that content as necessary to provide, secure, maintain, support, and improve the Service, only as described in these Terms and our Privacy Policy. You are responsible for ensuring that you have all rights, licenses, consents, and permissions required for Your Content and for any personal data or third-party material contained in it.
We may remove, restrict, or disable access to Your Content if we reasonably believe it violates these Terms, applicable law, third-party rights, platform rules, or creates legal, security, or operational risk for the Service.
6. Third-Party Platforms & Meta Platform Terms
The Service integrates with third-party platforms such as Facebook, Instagram, and WhatsApp (collectively, "Meta Platforms"), as well as services from Stripe, Google, AI providers, hosting providers, and other third parties. Your use of those platforms and providers is subject to their respective terms, policies, permissions, technical limits, review processes, and availability. We are not responsible for the actions, content, policies, outages, delays, account restrictions, rejected messages, lost permissions, platform review decisions, API changes, or service changes of any third party.
When you connect a Meta Platform account to the Service, you acknowledge that:
- Your use of data received from Meta is subject to the Meta Platform Terms and Developer Policies.
- We access your Meta account data only with your explicit authorization and only for the purpose of providing the Service.
- You may revoke access at any time by disconnecting your Meta account from the Service or removing the app from your Meta account settings.
- Upon disconnection, we delete all data received from Meta within 30 days. If you delete your MT Desk account, your account is disabled immediately and associated data is permanently deleted within 60 days in accordance with our Privacy Policy and Data Deletion policy.
- You are responsible for the lawfulness of messages sent through your connected Meta accounts and for complying with all Meta messaging, commerce, privacy, and consent requirements.
We may suspend, limit, disconnect, or modify any third-party integration if we reasonably believe it is required by law, platform policy, API changes, security concerns, permissions changes, compliance review, or to protect the Service.
7. Fees, Payment, and Subscriptions
Certain features of the Service require a paid subscription. Fees are billed in advance on a recurring basis (monthly, annually, or as otherwise stated) through Stripe or another payment provider we make available. Unless cancelled before renewal, subscriptions renew automatically at the end of each billing period.
You may cancel your paid subscription through your account billing page or by contacting us. Unless we state otherwise, cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that time. Downgrades, scheduled plan changes, add-ons, usage limits, quotas, credits, and feature access are handled according to the plan and billing rules shown in the Service at the time of purchase or change.
All fees are non-refundable and non-creditable except where required by law or expressly approved by MT Technology Group Limited in writing. You are responsible for all applicable taxes, duties, bank charges, foreign exchange costs, and payment provider fees. Failed, disputed, reversed, or overdue payments may result in suspension, downgrade, loss of paid features, collection efforts, or termination.
We may change prices, plans, quotas, add-ons, and features with reasonable notice. Continued use after a pricing or plan change takes effect constitutes acceptance of the updated pricing or plan terms.
8. Intellectual Property
The Service, including its design, code, logos, and documentation, is owned by MT Technology Group Limited or its licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, branding, software, models, systems, or documentation except as necessary to use the Service in accordance with these Terms.
9. AI Output & End User Responsibility
The Service uses artificial intelligence and automated systems to generate, classify, retrieve, summarize, and route content. AI output may be inaccurate, incomplete, delayed, offensive, inappropriate, misleading, or unsuitable for your use case. The Service does not provide legal, medical, financial, tax, accounting, regulatory, or other professional advice.
You are solely responsible for reviewing, testing, configuring, supervising, and monitoring your chatbot and its output. You are responsible for decisions, transactions, bookings, customer support, commitments, refunds, policies, messages, and other actions taken by you, your team, your chatbot, or your end users based on use of the Service.
MT Desk has no direct relationship with your end users and does not control how they rely on chatbot responses. You must provide any required disclosures, notices, consent mechanisms, human review, escalation paths, and customer support for your own end users.
10. Service Availability and Changes
We may update, improve, limit, suspend, discontinue, or modify any part of the Service at any time. We do not guarantee that the Service, any chatbot, any third-party integration, or any message delivery channel will be uninterrupted, error-free, secure, available in every location, or compatible with every platform, device, account, browser, or business workflow.
11. Data Loss, Backups, and Security Incidents
You are responsible for maintaining independent copies, backups, exports, and records of Your Content, chatbot training materials, business information, customer communications, bookings, leads, and any other data that is important to your business. The Service is not intended to be your only system of record, archive, backup, or disaster-recovery service.
We use reasonable administrative, technical, and organizational measures designed to protect the Service, but no internet-based service, AI system, hosting provider, third-party platform, or data storage system can be guaranteed to be completely secure, error-free, or immune from unauthorized access, interruption, corruption, deletion, or loss.
To the maximum extent permitted by law, MT Technology Group Limited is not responsible for any loss, corruption, deletion, alteration, unauthorized access, unauthorized disclosure, or failure to store or transmit data arising from or relating to customer credentials, customer systems, customer configuration, customer instructions, third-party platforms, third-party providers, internet or infrastructure failures, malware, phishing, social engineering, force majeure events, or other circumstances outside our reasonable control.
Any liability we may have for data loss, data corruption, security incidents, unauthorized access, or service interruption is subject to the disclaimers, exclusions, and liability cap in these Terms, except to the extent that such liability cannot be excluded or limited under applicable law.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by law, MT Technology Group Limited disclaims all warranties arising from course of dealing, course of performance, usage of trade, or any expectation that the Service will produce a particular business, legal, financial, operational, or customer-service outcome.
13. Limitation of Liability
To the maximum extent permitted by law, MT Technology Group Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, data, business opportunity, anticipated savings, or business interruption, whether incurred directly or indirectly, arising from or relating to the Service or these Terms, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising from or relating to the Service or these Terms shall not exceed the greater of: (a) the amount you paid to us for the Service in the twelve (12) months before the event giving rise to the claim; or (b) HK$1,000 if you did not pay us for the Service during that period.
We are not liable for Your Content, chatbot output, end-user claims, platform violations, unauthorized account use, failed or rejected third-party messages, third-party service outages, AI provider behavior, payment provider action, data loss, data corruption, security incidents, or your reliance on AI output.
14. Indemnification
You agree to indemnify, defend, and hold harmless MT Technology Group Limited, its directors, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Service.
- Your Content, training data, chatbot configuration, prompts, instructions, messages, or chatbot output.
- Claims brought by your customers, end users, staff, contractors, business partners, or third parties.
- Your violation of these Terms, applicable law, third-party rights, or third-party platform terms.
- Your failure to obtain required rights, consents, permissions, notices, or authorizations.
- Your decisions, transactions, bookings, support responses, or commitments made through or because of the Service.
15. Suspension and Termination
We may suspend, restrict, or terminate your access to the Service immediately if we reasonably believe that: you violated these Terms; your use creates legal, security, compliance, platform, payment, or operational risk; your payment is overdue, disputed, reversed, or failed; your account is compromised; your use harms or may harm the Service, us, other users, third-party platforms, or end users; or suspension is required by law or a third-party platform.
You may cancel your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. We will handle deletion and retention of data in accordance with our Privacy Policy and Data Deletion policy.
Any provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and data retention provisions.
16. Dispute Resolution
If a dispute arises from or relates to these Terms or the Service, the parties agree to first try to resolve it in good faith by written notice and discussion for at least 30 days, unless urgent injunctive or equitable relief is required.
Subject to the good-faith resolution step above, the courts of Hong Kong shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or relating to these Terms or the Service. You agree that dispute proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action, to the extent permitted by applicable law.
17. Force Majeure
MT Technology Group Limited shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service provider failures, cyberattacks, labor disputes, civil unrest, war, pandemics, platform changes, or other force majeure events.
18. Modifications
We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of law principles.
20. General Provisions
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and Data Deletion policy, constitute the entire agreement between you and MT Technology Group Limited regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MT Technology Group Limited may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, restructuring, financing, or sale of assets.
No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by MT Technology Group Limited to be effective.
Consumer Rights
Nothing in these Terms limits any non-waivable rights you may have under applicable law.
